Job Responsibilities
Review and draft contracts, legal documents, bids, and correspondence in both English and Thai, identifying risks and recommending improvements.
Provide legal counsel on contracts, documents, corporate legal issues, and litigation support.
Conduct legal training and updates for the company to ensure compliance with applicable laws and regulations.
Advise on corporate law, personal data protection, international transactions, taxation (e.g., stamp duty), foreign business regulations, BOI matters, and commercial agreements.
Prepare and manage Board of Directors and shareholders' meetings, providing full corporate secretarial support.
Ensure compliance with anti-corruption, anti-competition, personal data protection, export controls, and other regulatory requirements.
Assist in compliance training and implement policies, procedures, and internal guidelines to strengthen compliance frameworks.
Conduct due diligence and screening of customers/suppliers to ensure compliance with export control regulations.
Coordinate with internal and external legal teams, including international counterparts and outside counsel, to manage legal strategies and litigation processes.
Support administrative functions, such as organizing the annual compliance conference, and handling procurement and payments for legal and compliance-related services.
Oversee company registration processes, ensuring compliance with corporate and foreign business laws.
Requirements
Bachelor’s or Master’s Degree in Law.
At least 8 years of legal experience in a law firm or as an in-house legal counsel in a multinational company.
Strong communication and presentation skills in both Thai and English (minimum TOEIC score of 700).
Experience in reviewing Information Communication Technology (ICT) contracts, including:
IT, IoT, and intellectual property law.
Sales and procurement agreements.
System integration contracts involving software, hardware, and cloud services.
Back-to-back subcontract agreements.
Deep understanding of Thai commercial, corporate, and foreign business laws.
Proactive in researching and staying updated on local and international laws to ensure regulatory compliance.
